NOTICE OF 7th ANNUAL GENERAL MEETING
NOTICE is hereby given that the 7th Annual General Meeting of the members of The Jamaica National Group Limited will be held at 3:00 p.m. (EST) on Tuesday, March 4, 2025, in a hybrid format – that is, both at a physical location and by live-streaming.
See below instructions to register by the deadline and join the AGM as a member or to join as an unregistered member or non-member/guest
Registration Process
To attend the AGM on Tuesday, March 4, 2025 as a:
REGISTERED/VALIDATED MEMBERS
Members who registered by 10:00 a.m. on Friday, February 28, 2025, will be able to join the AGM virtually, vote and ask questions.
These registered members will receive an email from Zoom with a passcode and link to the AGM.
The online meeting room will open at 2:30 p.m. (EST) on the day of the AGM.
UNREGISTERED MEMBER, NON-MEMBER OR GUEST:
Members who did not register before 10:00 a.m. on Friday, February 28, 2025 can visit www.jngroup.com to join the AGM. However, unvalidated/unregistered members will not be able to vote or ask questions.

How can I submit general questions?
Members may submit questions in advance by email to agm@jngroup.com. These questions may be addressed during the AGM, as practical, or a response sent via email.
What are the resolutions to be voted on?
The resolutions to be voted on at the AGM are in the Proxy Form on the AGM website, www.jngroup.com/agm-2024.
Can I appoint someone else to attend and vote on my behalf?
For this AGM, members may appoint a director physically present at the meeting as his/her proxy to attend and vote at the meeting on their behalf. Members who wish to appoint a proxy must do so by submitting a completed Form of Proxy. The Proxy Form provides the name of the JN director.
Where can I get a copy of the Form of Proxy?
The Form of Proxy is available at www.jngroup.com/agm-2024 and is also available on request by emailing: agm@jngroup.com.
When does the completed Form of Proxy need to be submitted?
To be considered valid, the completed Form of Proxy shall be signed by the member and sent via email to agm@jngroup.com or delivered to the Company Secretary, 2–4 Constant Spring Road, Kingston 10, Jamaica, by Sunday, March 2, 2025, at 3:00 p.m. (EST).
What are we voting on at the meeting?
The resolutions to be voted on are included in the Form of Proxy.
How do I table a matter for discussion at the meeting?
Questions can be submitted by email to agm@jngroup.com up to 48 hours prior to the meeting – Sunday, March 2, 2025, at 3:00 p.m. (EST). Members who have registered by the deadline of Friday, February 28, 2025 at 10:00 a.m. may also submit questions on the meeting platform during the meeting. These questions will be addressed during the AGM as deemed reasonably practicable at the Chairman’s discretion.
Will I be able to ask questions during the meeting?
Yes, our platform can accommodate questions posed by members who registered by the deadline of Friday, February 28, 2025 at 10:00 a.m. At the start of the meeting, we will share details about how to ask questions. Members can also submit questions in advance of the AGM by emailing agm@jngroup.com. These questions will be addressed during the AGM as deemed reasonably practicable at the Chairman’s discretion.
Why do I need to register for the meeting ahead of time?
Participation is reserved for members only. As such, registration is required so that we can verify your membership vote on any resolutions or ask questions.
Where do I register to attend the AGM?
You may register on the JN Group website, www.jngroup.com/agm-2024. Registration for the AGM will be available up to Friday, February 28, 2025 at 10:00 a.m. (EST)
If I don’t register by the deadline, can I still attend the AGM?
If registration to attend the AGM is not completed before the deadline of Friday, February 28, 2025 at 10:00 a.m. (EST), members will still be able to attend the meeting online. However, they will not be able to vote nor ask questions during the meeting.
What is the process for registration?
Visit www.jngroup.com/agm-2024 and enter your full name, last three digits of your Taxpayer Registration Number (Jamaican residents), Social Security Number (USA residents) or National Identity Number (UK residents), Social Insurance Number (Canadian residents), cell phone number and email address. You will receive a code which will be sent to your email address or via SMS (text message). This code will be needed to log into the AGM on the day of the event. You will receive a reminder of your code to log into the AGM via SMS and/or email.
How do I join the AGM?
On Tuesday, March 4, 2025, visit www.jngroup.com/agm-2024, click on AGM event link, enter the code to access the meeting. The online meeting room will open at 2.30 p.m.
Where can I get assistance with registering or asking questions?
Members may call the JN Member Care Centre which will accommodate members’ registration via telephone. An agent will complete the registration process for you and will share the code which will also be sent via email or SMS. The specific lines for this support are:
